Angelina Anna Sarota - Chairwoman of the Supervisory Board

Ms. Angelina Sarota was appointed as member of the PKN ORLEN Supervisory Board in June 2008. She served as Secretary of the PKN ORLEN Supervisory Board during two previous terms of office. On June 27th 2013, she was appointed Chairwoman of the PKN ORLEN Supervisory Board. 

She is a solicitor with a doctorate in law, and a graduate of Jagiellonian University (Faculty of Law and Administration) and National School of Public Administration. She also completed  post-graduate studies in Strategic Human Resources Management at Kozminski University.

She is Vice-Chairwoman of the Management Board of PGE EJ1 Ltd., where her responsibilities include legal and regulatory matters.

Between April and May 2014, she was Advisor to the Minister in the Department of Ownership Policy at the Ministry of State Treasury. In  2005–2014, she headed the Legal Department of the Prime Minister Chancellery, where she was responsible for handling legal and legislative matters and provided services in this area to the Prime Minister, the General Director and the Head of the Chancellery. Before that, in 2003–2005, she held the position of Deputy Director of the Department for Strategy and Development of Science at the Ministry of Science and Computerisation. In 2001–2003, she worked as chief specialist in the Legal Representation Department and later on in the Department of Restructuring and State Aid at the Ministry of State Treasury. She is a member of the Management Board of the College of Europe Foundation.

Ms. Sarota was a member of the Supervisory Board of Cerg Spółka z o.o. of Gliwice and Chemar Spółka z o.o. of Kielce, Vice-Chairwoman of the Supervisory Board of Warszawski Park Technologiczny S.A, and Vice-Chairwoman of the Supervisory Board of Polska Wytwórnia Papierów Wartościowych S.A.

Adam Ambrozik - Secretary of the Supervisory Board

Mr. Adam Ambrozik was appointed as member of the PKN ORLEN Supervisory Board on May 15th 2014.

He graduated in Law from Catholic University of Lublin and completed studies in Marketing and Management at Lublin University of Technology.

He is Advisor to the Minister and acting director of the Department of Restructuring and State Aid at the Ministry of State Treasury. His duties include supervision over companies that are undergoing restructuring. He supervises processes involved in the provision of assistance and public aid from the Companies Restructuring Fund and the Industrial Development Agency. He also serves as Chairman of the Supervisory Board of Polimex – Mostostal S.A.

In the past, he was responsible for ownership supervision and implementing new business projects at a private sector group of companies. For five years he served as Secretary of the Tripartite Committee for Social and Economic Matters appointed by Employers of Poland, a non-governmental organisation.

 

                                                           

Maciej Bałtowski - Member of the Supervisory Board

Mr. Maciej Bałtowski was appointed as member of the PKN ORLEN Supervisory Board by the State Treasury, represented by the Minister of State Treasury, on May 15th 2014.

He is a professor at the Faculty of Economics of Maria Curie-Skłodowska University in Lublin. From March 2008 to June 2013, he was member of the Supervisory Board of Polska Grupa Energetyczna PGE S.A. Before that, he served on  Supervisory Boards of many companies, including as Chairman of the Supervisory Board of Wschodni Bank Cukrownictwa S.A. of Lublin (1998–2000) and Chairman of the Supervisory Board of Lubelska Fabryka Wag FAWAG (2001–2003).

Mr.  Bałtowski is an author of eight books and many articles and expert studies on the transformation and privatisation of the Polish economy and ownership supervision. From 2001 to 2003, he was  an expert at the  State Treasury Committee of the Polish Parliament, and co-author of the draft State Ownership Supervision Bill. Since November 2010, he has been member of the Council of the Supreme Audit Office.

                                                       

                                                

Cezary Banasiński - Member of the Supervisory Board

Mr. Cezary Banasiński was appointed as member of the PKN ORLEN Supervisory Board in 2012, and then  re-elected  for another term of office on June 27th 2013.

He holds a doctorate in law and is an associate professor at the Faculty of Law and Administration of the University of Warsaw. He graduated from the Faculty of Management (1977) and Faculty of Law and Administration (1980) of the University of Warsaw. He received scholarships of the Law Faculties of the University of Vienna and University of Tübingen, and of the Humboldt Foundation at Constance University. In  1997– 2000, he was advisor at the Jurisprudence Bureau of the Constitutional Tribunal, where he was responsible for analysing case law of the Court of Justice of the European Union. In  1999–2001, as Undersecretary of State in the Office of the Committee for European Integration, he was responsible for harmonising Polish legislation with the EU laws. In  2001–2007, he served as President of the Office of Competition and Consumer Protection, where he was responsible for  internal competition on the Polish market, legal protection of consumers, and monitoring of public aid. In  2002–2004, he headed the Negotiating Team that negotiated Poland's membership in the European Union,  and was responsible for the area  of the negotiations known as competition policy. In  2005–2006, he was member of the Polish Securities and Exchange Commission and the Insurance and Pension Fund Supervision Commission, and in  2006–2007 also member of the Coordination Committee on Financial Conglomerates.

He serves as an expert and advisor to  State Committees and Special Work Groups, an arbiter at the Court of Arbitration at the Polish Chamber of Commerce in Warsaw (since 2004), a member of the Programme Council of the European Law Foundation (2002–2010) and other foundations and associations.

For many years, he was Chairman of the Supervisory Board of PKO BP S.A. and many other companies owned by the State Treasury or local governments.

He is the author or co-author of numerous publications: books, articles, commentaries on laws and rulings of the Court of Justice  in the area of administrative and economic law, as well as European economic law. Throughout his professional career he has been working for the Faculty of Law and Administration of the University of Warsaw.

                                                   

Grzegorz Borowiec - Member of the Supervisory Board

Mr. Grzegorz Borowiec was re-elected as member of the PKN ORLEN Supervisory Board on June 27th 2013, after serving on the  Supervisory Board for two previous terms of office.

He graduated from the Faculty of Navigation of Gdynia Maritime University (1987), National School of Public Administration (1997), and the Faculty of Management of the University of Warsaw (2002), and received a Master of Business Administration degree from University of Warsaw/University of Illinois (2002). He is a member of the civil service corps.

Since December 12th 2007, he has served as General Director at the Ministry of State Treasury. Since January 2010, he has been  member of the Audit Committee at the Ministry of Regional Development.

In  1987– 1994, he worked as deck officer for Polish and foreign merchant navy ship owners. Between April 1997 and June 1998, he was Deputy Director of the Bureau for Free-of-charge Acquisition of Shares by Eligible Employees at the Ministry of State Treasury. In  1998–2001, he held the position of General Director at the Energy Regulatory Office. Between August 2001 and December 2007 he was Director of the Finance Department at the Ministry of Finance. He served as member of the Supervisory Boards of WSK Rzeszów (1998) and  PKP Szybka Kolej Miejska w Trójmieście (2002–2007). Between October 2009 and July 2014, he was a representative of the Minister of State Treasury on the Supervisory Board of Telewizja Polska S.A. He has also been member of the Supervisory Board of Polskie Radio S.A. since July 28th 2014.

He completed many internships in Poland and abroad, as well as numerous training courses , and holds many certificates, such as Internal Auditor Certificate (2005) and NATO Security Certificate (NATO Secret - 2002). He also completed a course in institutional and economic reforms in the power sector (Power Sector Reform – USAID, USA, 1999) and a training course in project management (PRINCE2, 2006).

                                              

Artur Gabor - Member of Supervisory Board

Mr. Artur Gabor was appointed as member of the PKN ORLEN Supervisory Board in 2010, and re-elected for another term of office on  June 27th 2013. He graduated from the Department of Economics at University College London and from the Faculty of Law at the University of Warsaw.

He is a Partner at Gabor&Gabor, specialising in investment and economic advisory. In 1986–1987, he worked as a research assistant at the Institute of Economic Sciences of the Polish Academy of Sciences. In 1987–1990, he was a manager of the Market Development Department at Paged S.A., and between 1990 and 1994  a Partner in Warszawska Grupa Konsultingowa. He held the positions of Managing Director for Poland at Credit Lyonnais Investment Banking Group (1994–1998), director of Mergers and Acquisitions for Central Europe and Russia  at General Electric Capital (1998–2004), and director of Finance Sector at IBM Poland (2005–2006).

He was member of the Management Board (2003–2004), and since 2005 of the Advisory Council of the American Chamber of Commerce. Since 2006, he has been member of the Independent Supervisory Board Members Corps at the Polish Institute of Directors. In 2001–2004, he served as Vice-Chairman of the GE Capital Bank S.A. Supervisory Board and member of the GE Bank Mieszkaniowy S.A. Supervisory Board; in 2004–2005, Chairman of the Getin Bank S.A. Supervisory Board and member of the Getin Holding S.A. Supervisory Board; in 2004 –2008, Vice-Chairman of the Energomontaż Północ S.A. Supervisory Board; in 2006–2007, member of the Polmos Lublin S.A. Supervisory Board; in 2007–2011, Vice-Chairman of the Energopol Katowice S.A. Supervisory Board; in 2011–2013, member of the Fleet Holdings S.A Supervisory Board; in 2012–2013, Vice-Chairman of the For-Net S.A. Supervisory Board. Since 2007,  member of the Orbis S.A. Supervisory Board, and since 2008  Chairman of the Grupa Lew S.A. Supervisory Board. From 2009,  Vice-Chairman, and since December 19th 2013 Chairman of the Sfinks S.A. Supervisory Board. Mr. Gabor has also been an independent member of the Prime Car Management Supervisory Board since 2014, and of the Idea Bank Supervisory Board since February 1st 2015.

Mr. Radosław L. Kwaśnicki, Ph.D. - Member of the Supervisory Board

Mr. Radosław Leszek Kwaśnicki was appointed as member of the PKN ORLEN Supervisory Board on May 15th 2014.

He received a doctorate in law, and is a solicitor and Managing Partner at KKW - KWAŚNICKI, WRÓBEL & Partners Legal Practice. He specialises in companies and capital market laws, and legal proceedings.

His professional career included the following positions: Chairman of the Supervisory Board of Agencja Rozwoju Przemysłu S.A. (2007), Vice-Chairman of the Supervisory Board of PGE ZEW-T Dystrybucja Sp. z o.o. (2008–2009), Secretary of the Supervisory Board of BOT Elektrownia Turów S.A. (2007–2008), member of the Supervisory Board of PGE Energia S.A. (2008–2009), Chairman of the Supervisory Board of Geotermia Pyrzyce Sp. z o.o (2006–2007), Chairman of the Supervisory Board of BBI Capital NFI S.A. (2012–2014), Chairman of the Supervisory Board of W Investments S.A. (2012–2014), Chairman of the Supervisory Board of W Investments TFI S.A. (2012–2014), Chairman of the Supervisory Board of  Dom Maklerski W Investments S.A. (2012–2014), member of the Supervisory Board of MAGO S.A. (2012–2013) and Chairman of the Supervisory Board of NAVI GROUP (2014). He is entered in the List of Candidates for Professional  Supervisory Board Members of the Polish Institute of Directors.

He was awarded the Global Law Experts recommendation in company law. He was also recognised by European Legal Experts (in the area of companies law) and Legal 500 (mergers and acquisitions law). He took the first place in the Professionals 2014 Forbes' contest in the category of Public Trust Professions in the Province of Warsaw.

He was Chairman and then Vice-Chairman of the Court of Arbitration of the Regional Chamber of Legal Advisers in Warsaw; now he is an arbiter in that court. He is also an arbiter of the Court of Arbitration of the Polish Chamber of Commerce, an arbiter of the Lewiatan Court of Arbitration, an arbiter of the International Court of Arbitration of the International Chamber of Commerce in Paris, and an arbiter of the Court of Arbitration of the Polish Bank Association.

He was involved in legislative and strategic work on the Polish economic law. He is an editor, author and co-author of several coursebooks and comments on laws as well as over 300 other publications about practical aspects of economic law. He sits on the Editorial Board of Monitor Prawa Handlowego, a periodic publication dedicated to commercial law.

Mr. Kwaśnicki is a lecturer for trainee attorneys (Regional Chamber of Legal Advisers in Warsaw), and gives lectures and speeches at conferences and seminars on economic law. He is fluent in English and German. He is the Editor-in-Chief of the Prawo Biznesu - Law in Action blog on commercial law.

                                                                           

Cezary Możeński – Member of the Supervisory Board

Mr. Cezary Możeński was appointed as member of the PKN ORLEN Supervisory Board on June 27th 2013.

He graduated from the Faculty of Chemical Engineering and Technology of Cracow University of Technology, majoring in Chemical Engineering. He received a doctorate in Technical Sciences, Chemical Engineering, from the Faculty of Chemical and Process Engineering of Warsaw University of Technology.

In 1981–2000, he was Head of the Research Department of the New Chemical Synthesis Institute in Puławy, and then in 2000–2004 Production and Development Director, and Strategy, Development and Investment Director at Zakłady Azotowe Puławy S.A. In 2002–2004, Chairman of the Management Board of Melamina III Sp. z o.o.; in 2003–2005, Chairman of the Supervisory Board of Masz - ZAP sp. z o.o.; in 2005–2006, member of the Management Board of Brasco S.A., in 2004–2006, President of the Management Board of Kompania Spirytusowa Wratislawia  Polmos Wrocław S.A. Since 2006,  director at the New Chemical Synthesis Institute in Puławy. Since 2008, Chairman of the Zakłady Azotowe Puławy S.A. Supervisory Board. Since 2011, member of the Committee of Chemical and Process Engineering of the Polish Academy of Sciences.

He is the author of  many patents and licences used in the chemical industry in Poland and abroad.

Mr. Możeński completed a number of training courses in  the area of management and work safety for managers (1998–2012). In 2002, he completed a course and passed the exam for candidates for members of supervisory boards at companies owned by the State Treasury. He graduated from The Strategic Leadership Academy (Harvard Business Pub.) in 2013.

Leszek Jerzy Pawłowicz – Vice-Chairman of the Supervisory Board

Mr. Leszek Jerzy Pawłowicz held the position of Vice-Chairman of the PKN ORLEN Supervisory Board during the previous term of office. He was re-elected to the PKN ORLEN Supervisory Board on June 27th 2013 and again appointed Vice-Chairman.

He graduated from the Faculty of the Economics of Production of the University of Gdańsk. He received a doctorate in Economics (1977), followed by a higher doctoral degree of Doctor habilitatus (1988). Since 1973, he has worked at the University of Gdańsk, first as a trainee, assistant researcher, and senior assistant researcher (1973– 1977), and then as assistant professor (1978–1988) and associate professor  (1988–1993). Since 1993, he has been professor, and since October 2003  also Head of the Department of Banking at the University of Gdańsk.

Since 1990, he has served as Vice-President of the Management Board of the Institute for Market Economics, and since 1992 as Director of the Gdańsk Academy of Banking.

In  1991–1993, he was Chairman, and in 1993–1996  member of the Supervisory Board of Bank Gdański S.A.; in 1995–1996, Chairman of the Programme Council of the Bank magazine; in 1996–1997, member of an expert group for the privatisation of Telekomunikacja Polska S.A.; in 1995–2001, member the Scientific Board of Bank Gospodarki Żywnościowej S.A.; in 1997–2000,  Chairman of the Economics Section of the Scientific Research Committee; in 2003–2005, member of the PPUP Poczta Polska Supervisory Board; since January 8th 1998 member, and since November 7th 2012 Vice-Chairman of the Bank Pekao S.A. Supervisory Board;  in 2004–2011, member of the PTE Allianz Polska S.A. Supervisory Board; since June 30th 2004 member, and since August 29th 2014 Vice-Chairman of the BEST S.A.
